These Terms of Service ("Terms") govern your access to and use of Scribient's clinical documentation platform and services ("Services"). By using our Services, you agree to these Terms.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Scribient provides:

Ambient AI recording of clinical conversations

Medical transcription services

AI-generated SOAP note creation

EHR integration capabilities

Concierge documentation services (where applicable)

3. Account Registration

To use our Services, you must:

Provide accurate account information

Maintain the security of your account credentials

Notify us immediately of unauthorized access

Be at least 18 years old or have parental consent

4. Subscription and Payment

Subscription Plans

**Core**: $499/month

**Pro**: $999/month

**Concierge**: $20/visit (requires Pro subscription)

Billing

Subscriptions are billed monthly in advance

Concierge services are billed monthly in arrears

All fees are non-refundable except as required by law

Free Trial

14-day free trial available for new accounts

No payment required during trial period

Full access to selected plan features

5. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose

Share account credentials with unauthorized parties

Attempt to access other users' accounts or data

Interfere with or disrupt the Services

Reverse engineer or copy our technology

Use the Services for non-clinical purposes

6. Data and Privacy

Your Data

You retain ownership of all data you input

We process data only to provide the Services

We maintain HIPAA compliance for protected health information

Our Use of Data

We may use anonymized, aggregated data to improve our Services

We will not sell your personal information

7. Intellectual Property

Our Property

The Services, software, and all related intellectual property are owned by Scribient

We grant you a limited, non-exclusive license to use the Services

Your Content

You retain all rights to your clinical data and notes

You grant us a license to process your data to provide Services

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SCRIBIENT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

SCRIBIENT IS NOT A HEALTHCARE PROVIDER. ALL CLINICAL DECISIONS REMAIN THE RESPONSIBILITY OF LICENSED HEALTHCARE PROFESSIONALS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRIBIENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold Scribient harmless from any claims arising from your use of the Services or violation of these Terms.

11. Termination

You may cancel your subscription at any time

We may suspend or terminate access for violation of these Terms

Upon termination, your right to use the Services ceases

Data export is available for 30 days after termination

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
